Agreement entered into between

2.and Century 21 Arizona West (Broker)
3.This agreement commences on

4.at 11:59 p.m. 180 days from the start date
shown on line 3 above. |

5.Seller
is the owner of the property commonly known as:

7.(the "Property"), and Seller warrants that the
Seller has the legal capacity, full
8.power and authority to enter into this
Agreement and consummate the
9.transaction contemplated hereby on the Seller's own behalf
or on behalf of the 10.party Seller represents, as appropriate. Seller is offering the
property for sale
11.without the assistance of any real estate broker. Broker only represents
12.buyers who may be interested in purchasing the property. |

COMPENSATION |

13.If Seller enters into a contract to
purchase, exchange, or option the Property
14.to a Buyer represented by the Broker during
the term of this Agreement,
15.Seller agrees to pay Broker compensation in the
amount equal to 3.0%
16.of the sales price. Broker's Compensation shall be
paid at the time of
17.and as a condition of closing.

18.COMMISSIONS PAYABLE FOR THE
SALE, EXCHANGE, LEASE OR
19.OPTION OF PROPERTY ARE NOT SET BY ANY BOARD
OR ASSOCIATION
20.OF REALTORS® OR
MULTIPLE LISTING SERVICE OR IN ANY MANNER
21.OTHER THAN AS NEGOTIATED BETWEEN BROKER AND
SELLER. |

BUYER AGENCY |
|
22.This Agreement is a
Compensation Agreement only. Seller acknowledges
23.that the Broker is acting solely as BUYER'S AGENT
and Broker is NOT
24.representing Seller in regard to the Property. As agent of
the Buyer,
25.Broker owes fiduciary duties to the Buyer of loyalty, obedience,
26.disclosure, confidentiality and accounting in dealings with the Buyer.
27.In
addition the Broker owes all parties in a transaction diligent exercise
28.of reasonable
skill and care in the performance of the Broker's duties
29.and a duty of honest and
fair dealing and a duty to disclose all facts
30.known to the Broker which
materially and adversely affect the
31.consideration to be paid for the Property. |

MEDIATION |
32.Any dispute or claim in law or equity arising
out of this Agreement shall be
33.submitted to mediation. Costs of the
mediation shall be split equally between
34.Seller and Broker. |

ACCEPTANCE |
|
35.Seller herby agrees to all of
the terms and conditions herein and
36.acknowledges receipt of a copy of this agreement, which
can be
37.printed at any time prior to submission. |
